Terms of Service (Terms & Conditions)

These Terms of Service ("Terms") govern your access to and use of TundaHub LLC (the "Site", "App", and related services, together the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. About us

The Services are operated by TundaHub LLC ("TundaHub LLC", "we", "us", "our").

2. Eligibility and account registration

2.1 Age requirements

You must be at least 18 years old (depending on your jurisdiction) to use the Services. If you are under the age of majority in your country, you may only use the Services with consent and supervision of a parent/guardian.

2.2 Account creation

To access certain features (e.g., posting listings, messaging, buying/selling), you may need to create an account. You agree to:

  • Provide accurate and current information
  • Keep login credentials secure
  • Be responsible for all activity under your account

We may require phone/email verification and may refuse account creation at our discretion.

3. Marketplace nature — important notice

TundaHub LLC is a platform. We are not the seller or buyer. Users list items and services and communicate directly.

We do not:

  • Own listed items (unless explicitly stated)
  • Guarantee the quality, legality, or safety of items/services
  • Guarantee that transactions will complete successfully
  • Act as an agent for any user unless explicitly stated

You are responsible for your own transactions and decisions.

4. User content and listings

4.1 Your content

"User Content" includes listings, photos, descriptions, messages, reviews, profile content, and anything you post or submit.

You represent and warrant that:

  • You own or have permission to post the User Content
  • The User Content is accurate (including item condition and price)
  • Your User Content does not violate laws or third-party rights

4.2 License you grant us

By posting User Content, you grant TundaHub LLC a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, distribute, modify (for formatting), and promote your content for the purposes of operating and marketing the Services.

This license ends when you delete the content, except where:

  • the content has been shared with others and they have not deleted it
  • we must retain it for legal, compliance, safety, dispute, or enforcement purposes

4.3 Listing rules

Listings must:

  • Be posted in the correct category
  • Include accurate information and clear photos
  • Not be misleading or deceptive
  • Not include prohibited content (see Section 6)

We may remove, modify, or restrict listings at any time.

5. Transactions, payments, and delivery

5.1 User-to-user transactions

You acknowledge that all transactions are between users, and you accept the risk of dealing with other users.

5.2 Payments (if enabled)

If we offer integrated payments:

  • Payment processing is handled by third-party processors
  • You agree to comply with the processor's terms
  • We may hold, delay, or reverse payments where required for fraud prevention, disputes, or legal compliance

We are not responsible for payment processor outages or errors.

5.3 Shipping/delivery (if enabled)

If shipping is offered, logistics may be provided by third parties. You agree that:

  • Delivery times are estimates
  • Risk of loss passes as described in checkout/shipping terms
  • Certain items may be restricted from delivery

6. Prohibited items and conduct

You must not use the Services to post, sell, buy, share, or promote anything that:

6.1 Illegal, unsafe, or regulated items

Including but not limited to:

  • Illegal drugs, drug paraphernalia, controlled substances
  • Weapons, ammunition, explosives, instructions for making weapons
  • Stolen goods or goods obtained unlawfully
  • Counterfeit products and IP-infringing items
  • Human trafficking, sexual services
  • Wildlife trafficking or protected species products
  • Personal data (e.g., lists of phone numbers, IDs, bank details)
  • Hazardous materials where restricted
  • Any item prohibited by applicable law in your jurisdiction

6.2 Restricted services

Including:

  • Fraud, phishing, scams
  • Money laundering or financial crime
  • Pyramid schemes, get-rich-quick schemes
  • Misleading job listings (especially requiring upfront payment)

6.3 Harmful platform behavior

You must not:

  • Harass, threaten, defame, stalk, or abuse others
  • Post hate speech or discriminatory content
  • Post sexually explicit content (unless explicitly allowed in a defined category)
  • Spam, mass message, or scrape data
  • Use bots or automated tools to access the Services without permission
  • Reverse engineer, interfere with, or disrupt the Services
  • Attempt to bypass our moderation systems or restrictions

7. Safety and user responsibilities

You are responsible for:

  • Verifying the identity and reliability of other users
  • Inspecting items before purchase
  • Using safe payment practices
  • Meeting in safe public places where appropriate
  • Reporting suspicious behavior

We may provide "safety tips," but you remain responsible for your decisions.

8. Fees, promotions, and refunds

8.1 Fees

Some features may be paid (e.g., promoted listings, subscriptions, premium placements). Applicable fees will be shown before purchase.

8.2 Taxes

You are responsible for any taxes related to your use of the Services and your transactions unless we explicitly state otherwise.

8.3 Refunds

Refund policies for paid features:

  • Promoted/featured listings: generally non-refundable once activated unless required by law
  • Subscriptions: billed as stated and may renew automatically until canceled

Local consumer laws may provide additional rights.

9. Moderation and enforcement

We may (but are not obligated to) monitor, review, and moderate content and behavior.

We may:

  • Remove listings/content
  • Issue warnings
  • Restrict visibility of posts (shadow-limiting)
  • Suspend or terminate accounts
  • Block devices or IP addresses
  • Report illegal activity to authorities

Our decisions are final, subject to applicable law.

10. Reporting and complaints

If you believe content violates these Terms or the law, you may report it via:

  • In-product report tools
  • support@tundahub.com

We may request additional information to investigate. Abuse of reporting tools may lead to enforcement action.

11. Intellectual property

11.1 Our IP

The Services, trademarks, design, and software are owned by TundaHub LLC or licensors. You may not copy, modify, distribute, sell, or lease any part of our Services without permission.

11.2 Your IP

You retain ownership of your User Content, subject to the license granted in Section 4.2.

12. Third-party services

The Services may link to or integrate with third-party tools (payments, social login, maps, analytics). We are not responsible for third-party services, content, or actions.

Your use of third-party services is subject to their own terms.

13. Disclaimer of warranties

To the maximum extent permitted by law, the Services are provided "as is" and "as available."

We disclaim all warranties, including:

  • fitness for a particular purpose
  • merchantability
  • non-infringement
  • accuracy or reliability of listings
  • availability or uninterrupted operation

We do not guarantee that the Services will be error-free, secure, or free of harmful components.

Some jurisdictions do not allow certain disclaimers—your rights may vary.

14. Limitation of liability

To the maximum extent permitted by law:

  • TundaHub LLC is not liable for losses arising from user listings, communications, or transactions.
  • We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or reputational harm.

Where permitted, our total liability for any claim is limited to the greater of:

  • UGX 50,000, or
  • fees you paid to us in the last 12 months related to the Services

Nothing in these Terms limits liability that cannot legally be limited (e.g., fraud, certain consumer rights, death/personal injury caused by negligence in some jurisdictions).

15. Indemnity

You agree to defend, indemnify, and hold harmless TundaHub LLC, its affiliates, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

  • your use of the Services
  • your listings or User Content
  • your violation of these Terms
  • your violation of any law or third-party rights

16. Suspension and termination

We may suspend or terminate your access immediately if:

  • you violate these Terms
  • we suspect fraud, abuse, or illegal activity
  • required by law or to protect users and the platform

You may stop using the Services at any time and may delete your account in settings.

Upon termination:

  • your right to use the Services ends
  • we may remove or retain data as described in the Privacy Policy and as required by law

17. Changes to the Services or Terms

We may update these Terms from time to time.

If changes are material, we will notify you via:

  • posting an update on the Services
  • sending an email or in-app notification

By continuing to use the Services after the effective date, you accept the updated Terms.

18. Governing law and dispute resolution

18.1 Governing law

These Terms are governed by the laws of Uganda, without regard to conflict of law rules.

18.2 Dispute resolution

Before filing a formal claim, you agree to contact us to attempt to resolve the dispute informally at support@tundahub.com.

If unresolved:

  • disputes shall be resolved in the courts of Kampala, Uganda, unless mandatory consumer protection rules apply

19. Consumer rights

If you are a consumer, you may have legal rights that cannot be waived. Nothing in these Terms limits those rights.

20. Miscellaneous

  • Severability: if part of the Terms is invalid, the rest remains in effect
  • No waiver: failure to enforce any part is not a waiver
  • Assignment: we may assign our rights and obligations; you may not assign without our consent
  • Entire agreement: these Terms + Privacy Policy + any posted policies form the entire agreement
  • Language: in case of conflict, English version prevails
